1. Acceptance of Terms

By accessing or using the website at pfintelligence.net (the “Website”) or engaging the services of Pardexus Holdings LLC d/b/a Premier Fleet Intelligence (“PF Intelligence,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you should not use our Website or Services. We reserve the right to modify these Terms at any time by posting the revised version on this page. Your continued use of our Website or Services after any such changes constitutes acceptance of the updated Terms.

2. Description of Services

PF Intelligence provides fleet technology solutions as an authorized ZenduIT technology partner. Our Services include, but are not limited to:

• Consultation, system design, and needs assessment for fleet technology deployments.
• Supply, installation, and configuration of AI dashcam systems, GPS tracking devices, sensor beacons, and related hardware.
• Access to and provisioning of the ZenduONE fleet management platform and associated software modules.
• Ongoing technical support, troubleshooting, and maintenance of fleet technology systems.
• Training and onboarding for fleet operators and administrators.

The specific scope, pricing, and terms of any engagement will be detailed in a separate service agreement, statement of work, or written quote provided to you prior to commencement of work.

3. Use of the Website

You agree to use our Website only for lawful purposes and in compliance with all applicable local, state, and federal laws. You may not:

• Use the Website in any manner that could disable, overburden, damage, or impair its functionality.
• Attempt to gain unauthorized access to any portion of the Website, server, or connected systems.
• Use automated tools, bots, or scrapers to extract content from the Website without our prior written consent.
• Transmit any viruses, malware, or other harmful code through the Website.
• Use the Website to collect or harvest personal information of other users.

4. Intellectual Property

All content on the Website, including but not limited to text, graphics, logos, images, design elements, and software, is the property of Pardexus Holdings LLC or its licensors and is protected by applicable intellectual property laws. The PF Intelligence name, logo, and related branding are trademarks of Pardexus Holdings LLC.

You may not reproduce, distribute, modify, display, or create derivative works from any content on the Website without our prior written permission. Product names, logos, and trademarks of our technology partners, including ZenduIT, remain the property of their respective owners.

5. Product and Platform Terms

Hardware products (cameras, trackers, beacons) and software platform access (ZenduONE) provided through PF Intelligence are subject to the terms and conditions of the respective manufacturers and technology partners. Your use of ZenduIT hardware and the ZenduONE platform is additionally governed by ZenduIT’s applicable end-user license agreements and terms of service.

6. Quotes, Orders, and Payment

All quotes provided by PF Intelligence are valid for 30 calendar days from the date of issue unless otherwise specified in writing. Accepted quotes and service agreements are binding upon written confirmation or signature by the customer.

• A completed billing profile is required prior to hardware shipment.
• Payment for hardware and professional services is due prior to shipment or service delivery unless otherwise agreed in writing.
• Standard order processing and fulfillment requires up to 15 business days unless otherwise specified.
• Subscription fees for platform services are billed on a recurring basis as specified in your service agreement.

7. Returns and Cancellations

Hardware returns are accepted within 30 calendar days of receipt, provided the equipment is in its original, undamaged condition. A restocking fee of 20% of the hardware purchase price applies to all returns. Professional service fees and installation charges are non-refundable once services have been rendered.

Platform subscription cancellations are subject to the minimum service term specified in your service agreement. Early termination does not relieve the customer of the obligation to pay amounts due under the agreed term.

8. Service Agreements and Term

Unless otherwise specified, the initial term for platform subscriptions and managed services commences on the date of first activation and continues for the duration stated in your service agreement (typically 36 months). Additional services or hardware may be added to an existing agreement during the active term.

Late payments are subject to a 5% fee compounded every 30 days. Services may be suspended after 60 days of non-payment. We accept payment by check, credit card, ACH, and wire transfer. Credit card payments may include a processing fee of up to 3%.

9. Limitation of Liability

To the fullest extent permitted by applicable law, PF Intelligence, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our Website or Services, regardless of the theory of liability.

Our total aggregate liability for any claim arising from or related to the Services shall not exceed the total amount paid by you to PF Intelligence during the twelve (12) months preceding the event giving rise to the claim.

10. Disclaimer of Warranties

The Website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

While we strive to ensure the accuracy and reliability of information on our Website, we do not warrant that the Website will be uninterrupted, error-free, or free of harmful components. Fleet technology product specifications, features, and availability are subject to change without notice.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pardexus Holdings LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to your violation of these Terms, misuse of our Services, or infringement of any third-party rights.

12. Third-Party Services

Our Services may integrate with or rely upon third-party hardware, software, platforms, and wireless carrier networks. PF Intelligence is not responsible for the performance, availability, or terms of any third-party service. Your use of third-party services is subject to their respective terms and conditions.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Hidalgo County, Texas, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and PF Intelligence regarding your use of the Website and Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
